1. Scope, Status & Contract Formation
These Terms & Conditions govern all access to, use of, and transactions conducted via this website. By accessing, registering, or placing an order, the Buyer confirms that they are acting strictly in the course of trade, business, profession, or resale and that a legally binding commercial contract is formed at the point of order confirmation. These Terms apply to the exclusion of any other terms proposed by the Buyer.
2. Wholesale-Only Transaction Declaration
The Company is a vintage clothing wholesaler. All goods are sold exclusively for resale or commercial use. Buyers confirm they are not acting as private consumers and acknowledge that consumer expectations associated with new retail clothing do not apply to vintage wholesale goods.
3. No Consumer Reliance or Retail Assumptions
Buyers acknowledge that consumer legislation relating to change of mind, suitability for personal use, retail presentation, or fashion preference is not applicable to wholesale vintage transactions, save for any non-excludable statutory rights that apply by law.
4. Account Integrity, Authority & Misrepresentation
Buyers warrant that they have authority to bind the purchasing entity. Providing false, misleading, or incomplete information constitutes a material breach and may result in suspension, termination, order cancellation, or refusal of service without liability.
5. Nature of Vintage Goods (Fundamental Disclosure)
All goods are used, vintage, surplus, or second-hand garments. Goods are not manufactured or supplied to modern retail standards. Signs of age, wear, fading, storage marks, repairs, missing labels, or historical manufacturing variance are inherent characteristics and are expressly accepted by the Buyer.
6. Pre-Wash Assessment & Handling Acknowledgement
Condition, grading, and assessment are performed on items as supplied, unwashed and untreated. Buyers accept responsibility for post-delivery processing including washing, steaming, repair, or preparation for resale. Post-wash outcomes are not grounds for claims.
7. Grading System, Averaging & Commercial Tolerance
Grading represents a commercial average across a bale or bulk lot and not item-by-item perfection. A grading tolerance of up to 10 percentage points applies due to human sorting variance. Items falling within this tolerance are deemed contract-compliant.
8. Assortment, Sizing & Style Variance
Unless expressly stated, goods are supplied as mixed assortments. No representation is made as to size breakdown, era, fit, brand mix, gender balance, trend relevance, or resale performance.
9. Orders, Pricing Errors & Refusal Rights
Orders are binding once accepted. Prices exclude taxes, duties, and customs charges. The Company reserves the right to correct errors, cancel orders, or refuse service where pricing, stock, compliance, or risk concerns arise. This includes errors relating to promotions, discount codes, automated pricing rules, shipping rates, and website content.
10. Payment, Title & Retention of Rights
Full cleared payment is required prior to dispatch. Title passes only upon receipt of full payment. Risk transfers on dispatch. Non-payment or chargeback abuse may result in account termination.
11. Delivery Estimates & Logistics Disclaimer
Delivery dates are estimates only. Delays caused by carriers, customs, inspections, or force majeure do not constitute breach of contract.
12. Mandatory Inspection & Deemed Acceptance
Buyers must inspect goods immediately upon delivery. Failure to submit a compliant claim within the published claim window constitutes full and unconditional acceptance of the goods.
13. Claims, Remedies & Evidence Threshold
All claims are governed exclusively by the Refund & Returns Policy. Claims must meet strict evidence thresholds. Subjective dissatisfaction, resale outcomes, or market conditions do not constitute valid claims.
14. Exclusive Remedies & No Additional Rights
Refunds, returns, or credits (where approved) are the sole and exclusive remedies available. No other remedies, damages, or compensation shall be available.
15. No Right of Withdrawal or Cooling-Off
Wholesale orders are final. No cooling-off, cancellation, or change-of-mind rights apply once an order is placed.
16. Limitation of Liability (Wholesale Standard)
To the maximum extent permitted by law, the Company shall not be liable for indirect, consequential, or economic losses including loss of profit, resale margin, or goodwill. Total liability shall not exceed the invoiced value of the affected goods.
17. Indemnity
The Buyer agrees to indemnify and hold harmless the Company against claims arising from misuse, resale representations, regulatory non-compliance, or breach of these Terms.
18. Force Majeure
The Company shall not be liable for delay or failure caused by events beyond reasonable control, including supply chain disruption, transport failure, labour disputes, or regulatory action.
19. Website Use Restrictions
The Buyer must not misuse the website. This includes introducing viruses or malicious code, attempting unauthorised access, interfering with site security or functionality, or using automated tools (including bots, spiders, scrapers, or crawlers) to extract data, content, pricing, images, or other materials without our written consent. We may suspend or terminate access where misuse is suspected.
20. Intellectual Property
All website content including text, product descriptions, grading descriptions, images, photography, branding and logos is owned by or licensed to the Company. Reproduction, copying, scraping, distribution, or commercial use without written consent is prohibited.
21. Third-Party Links
The website may contain links to third-party websites or services. We are not responsible for the content, policies, or availability of third-party sites.
22. Data Protection & Cookies
Use of the website is subject to the Company’s Privacy Policy and Cookie Policy, which form part of these Terms.
23. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
24. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25. Amendments & Priority
The Company may amend these Terms at any time. Where conflicts arise, these Terms take precedence over any Buyer terms.
26. Entire Agreement
These Terms, together with the Refund & Returns Policy, Privacy Policy, Grading Policy, and Cookie Policy, constitute the entire agreement between the parties.
